What this site is

Downriver Makerspace (downrivermakers.com) is an informational site for a proposed member-run shared workshop. The space does not exist yet. No lease has been signed. Equipment lists, workshop areas, dues figures, membership tiers, and locations described on this site are plans and estimates, not offers, promises, or commitments. All of them may change or may never happen.

The waitlist

Dues, deposits, and membership tiers

Any dues rate or deposit amount shown is a planning estimate based on projected costs for a space of this size in this market. Actual figures depend on the lease we sign, the number of members who commit, insurance, and equipment. No money is collected through this website.

The founding deposit is optional. A no-deposit path into the founding cohort is available and will remain available. Where a deposit is taken, it is credited toward membership rather than charged as a separate fee, and it is not collected until a space is confirmed and a separate written membership agreement is signed. Joining the waitlist creates no payment obligation of any kind.

Membership tiers, deposit amounts, the benefits attached to them, and voting eligibility are provisional until the club's charter and bylaws are ratified by its founding cohort. Once ratified, they may be amended by the voting membership under those bylaws. Nothing on this site is an offer of membership, a share, a security, or an ownership interest, and nothing here creates a binding commitment by you or by us. The written membership agreement governs; where it differs from this site, the agreement controls.

Acceptable use

Do not submit false information, other people's personal information, unlawful or infringing content, or automated/bulk submissions. Do not attempt to disrupt or gain unauthorized access to the site. We may remove any submission and refuse service at our discretion.

We link to sites we do not control and are not responsible for their content, policies, or practices.

Disclaimer of warranties

This site is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted, error-free, or that any information on it is accurate, complete, or current.

Limitation of liability

To the fullest extent permitted by law, Downriver Makerspace, its organizers, members, and volunteers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of this site or the waitlist — whether based in contract, tort, negligence, strict liability, or any other theory, and even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to this site or the waitlist will not exceed one hundred U.S. dollars (US $100.00).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where those laws apply, the above limitations apply to the greatest extent permitted, and nothing here limits liability for fraud, willful misconduct, or personal injury caused by our negligence where such limitation is prohibited.

Indemnification

You agree to indemnify, defend, and hold harmless Downriver Makerspace and its organizers, members, and volunteers from and against any claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of this site; (b) information you submit, including any claim that it infringes or misappropriates the rights of a third party or that you lacked authority to submit it; (c) your violation of these Terms or of any applicable law; or (d) your violation of the rights of any third party.

Governing law and venue

These Terms and any dispute arising out of or relating to them or this site are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules.

You and Downriver Makerspace agree that the state and federal courts located in Wayne County, Michigan have exclusive jurisdiction and venue over any such dispute, and you consent to personal jurisdiction in those courts and waive any objection based on inconvenient forum.

Severability

If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary and the remaining provisions will remain in full force.

Changes

We may update these Terms. Material changes will be reflected in the date at the top of this page. Continued use of the site after a change constitutes acceptance.
